For more than 30 years, Mr. Patrizio has counseled business entities at all stages of development, their investors and their owners on complex legal matters that often bridge a number of practice areas. These entities come from a variety of industry groups including financial services, internet, banking, media, telecommunications, advertising, insurance, technology, biotechnology, financial technology, software and most recently, companies involved in the solar energy industry. Paul’s practice focuses on providing corporate and finance guidance to clients on domestic and international corporate transactional matters including mergers and acquisitions, securities offerings, private equity and venture capital formation, acquisition and financing transactions, debt and equity financings, investment fund representation, counseling of early-stage and middle-market companies, structuring of executive employment and other compensation agreements, as well as other general business matters.

In addition to his legal activities, Mr. Patrizio has been an investment banker, investment manager, corporate executive of both public and private companies and an entrepreneur. Accordingly, he comes to his role as legal counselor in a unique position to truly understand the client’s perspective. He is also currently President of both Arista Capital Ltd., an asset based lender and Apogee Partners LLC, a private equity investment firm.

Mr. Patrizio’s legal career includes most recently being General Counsel to Green States Energy, Inc., a developer and owner of solar energy projects and prior to this role he was General Counsel to Gehrlicher Solar America Corp., the US subsidiary of Gerhlicher Solar AG (Germany), one of the largest solar companies in the world. From 1996-2008, Mr. Patrizio was a Managing Director and General Counsel at several investment banking firms which specialized in private equity and debt transactions. From 1984-1996, Mr. Patrizio worked at New York City law firms where he specialized in corporate, securities, and general business matters which included being an associate at Cahill Gordon and Shea & Gould and a partner at Campbell & Fleming (which became the NYC office of Epstein Becker & Green). Mr. Patrizio holds a BA, MBA, JD and LLM and is admitted to practice law in New Jersey, New York and Pennsylvania.

Education

Paul received his L.L.M. in Corporation Law from N.Y.U. Law School, with Honors in 1989. Paul received his J.D. from New York Law School, with Honors, where he served as the Editor of the Law Review in 1984. Paul received his MBA in Finance from Pace University, with Honors in 1981. Paul received his B.A., cum laude from St. Michael’s College in 1979.
